Welcome to hdsok.com ("Site"), operated by Homeland Development Services LLC ("HDS," "we," "us," "our"). By accessing or using our Site, you agree to these Terms of Service ("Terms"). For the Service Dashboard platform, please refer to our End-User License Agreement (EULA).

§ 1. Acceptance of Terms

By accessing, browsing, or using this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use this Site.

1.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms on this page with a new "Effective Date." Your continued use of the Site after changes constitutes acceptance of the modified Terms.

The Site provides information about HDS's facility management consulting and software services, including:

2.2 Service Dashboard

HDS offers a subscription-based Service Dashboard for facility management, governed by the separate EULA. Dashboard features include:

Work order management

Budget tracking and analytics

Vendor management

SLA monitoring

§ 3. User Accounts

3.1 Account Creation

Some features require account registration. You agree to:

Provide accurate, current, and complete information

Maintain the security of your password

Accept responsibility for all activities under your account

Notify us immediately of any unauthorized use

3.2 Account Termination

We may suspend or terminate your account at any time for:

Violation of these Terms

Suspected fraudulent, abusive, or illegal activity

Extended inactivity

Any reason at our sole discretion

§ 4. Acceptable Use

4.1 Permitted Use

You may use the Site for lawful purposes in accordance with these Terms and our Acceptable Use Policy.

Cost of substitute services

9.2 Liability Cap

IN NO EVENT SHALL HDS'S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER.

9.3 Basis of Bargain

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

§ 10. Indemnification

You agree to indemnify, defend, and hold harmless HDS and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your violation of these Terms

Your violation of any third-party rights

Your User Submissions

§ 11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of law principles.

11.2 Jurisdiction

You consent to the exclusive jurisdiction of state and federal courts located in Oklahoma County, Oklahoma for any disputes arising under these Terms.

11.3 Informal Resolution

Before filing any claim, you agree to contact us at legal@hdsok.com to attempt informal resolution. We will attempt to resolve disputes within 30 days.

11.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

§ 12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and HDS regarding the Site.

12.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

12.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations at any time.

12.5 Force Majeure

Neither party is liable for delays or failures due to causes beyond reasonable control, including natural disasters, war, terrorism, strikes, government actions, or infrastructure failures.

12.6 No Partnership

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

12.7 Survival

Provisions regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination of these Terms.
